Welcome to TownHallOS ("TownHallOS," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, applications, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and any additional terms or policies referenced herein. If you disagree, you may not use the Service.
1. Definitions
- User Account: Your registered profile on TownHallOS, authenticated via Google OAuth, Twilio, or other methods.
- Content: All text, images, data, visualizations, code, or other materials provided through the Service.
- Personal Data: Information that identifies or could identify an individual, as defined in our Privacy Policy.
- Privacy Policy: The TownHallOS Privacy Policy, incorporated by reference and available at https://www.townhallos.org/terms/privacy-policy.
2. Eligibility and Registration
- Age Requirement: You must be at least 15 years old to use the Service. By registering, you represent that you meet this requirement.
- Account Creation: You agree to provide accurate, complete, and up-to-date information during registration, including OAuth credentials, phone number, email address, and demographic details. You are responsible for maintaining the security of your credentials.
- Account Verification: We may verify your email or phone number (e.g., via magic link or Twilio Verify). You agree to comply with verification procedures and complete them within designated timeframes.
- Account Security: You are responsible for all activity under your Account. Immediately notify us of any unauthorized use or security breach.
3. Access and Use of the Service
Permitted Use: Use the Service only for lawful, non-commercial purposes and in compliance with these Terms and all applicable local, state, national, and international laws.
Prohibited Conduct: You shall not:
- Reverse-engineer, decompile, or attempt to extract source code or underlying algorithms;
- Interfere with or disrupt the Service, servers, or networks;
- Transmit viruses, spam, or malicious content;
- Harvest or scrape personal data of other users;
- Impersonate any person or entity or falsely state an affiliation;
- Use the Service to infringe upon any intellectual property rights.
Service Availability: We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Maintenance, upgrades, or events beyond our control may result in temporary outages.
4. Content and Intellectual Property
- Ownership: All Content provided by TownHallOS, including designs, code, text, and visualizations, is our exclusive property, protected by intellectual property laws.
- Government Data: Public domain data sourced from government or third-party APIs remains subject to the original provider's terms.
- User-Generated Content: If you submit feedback, suggestions, or other content, you grant us a perpetual, irrevocable, royalty-free license to use, modify, distribute, and sublicense such content worldwide.
- License to Use: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or organizational needs, subject to these Terms.
5. Privacy and Data Protection
- Privacy Policy: Your use of Personal Data is governed by our Privacy Policy, which is incorporated herein by reference.
- Data Retention and Deletion: We store your data in the United States using Supabase. You may request deletion of your data via email to dev@townhallos.org; we will destroy your data within 30 days, including backups.
- Security Measures: We employ industry-standard safeguards, including encryption, access controls, and monitoring; however, we cannot guarantee absolute security. See Section 7 of the Privacy Policy for details.
6. Disclaimers and Warranties
- "As Is": The Service is provided on an "as is" and "as available" basis without warranties of any kind.
- No Guarantee of Accuracy: Although we strive for the accuracy of visualized data, we do not warrant its completeness, correctness, or timeliness. You use the Service at your own risk.
- Third-Party Links: The Service may contain links to third-party sites. We do not endorse or assume responsibility for their content or practices.
7. Limitation of Liability
- Exclusion of Damages: To the fullest extent permitted by law, TownHallOS and its affiliates will not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of data or profits.
- Aggregate Liability Cap: Our total liability arising from these Terms or your use of the Service will not exceed the fees you have paid (if any) in the six months preceding the cause of action, or $100 if no fees were paid.
8. Indemnification
You agree to indemnify, defend, and hold harmless TownHallOS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Service.
9. Termination
- Termination by You: You may terminate your Account at any time by following the deletion procedure in our Privacy Policy.
- Termination by Us: We reserve the right to suspend or terminate your access for violating these Terms, engaging in illegal activities, or posing a threat to security, with or without notice.
- Effect of Termination: Upon termination, all licenses granted to you will immediately cease, and you must stop using the Service. Sections on Disclaimer, Liability, Indemnification, and Governing Law will survive.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. We will post changes with a new Effective Date at the top. Continued use after modification constitutes acceptance. We encourage you to review these Terms periodically.
11. Governing Law and Dispute Resolution
- Governing Law: These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
- Arbitration: Disputes will be resolved by binding arbitration under the American Arbitration Association's rules, with each party bearing its own costs.
- Injunctive Relief: Notwithstanding arbitration, we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.
12. Miscellaneous
- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and TownHallOS regarding the Service.
- Severability: If any provision is held invalid, the remainder will continue in full force.
- Waiver: Failure to enforce any right will not be deemed a waiver of that right.
13. API Access and Rate Limits
If you access our Service via any public or private API endpoints, you agree to the following:
- Authentication & Keys: All API requests must be authenticated using valid credentials (e.g., OAuth tokens, API keys). You are responsible for safeguarding your keys.
- Rate Limiting: We may enforce rate limits to maintain performance and stability. Exceeding limits may result in temporary throttling or suspension.
- Data Usage: Any data retrieved via the API is subject to our Privacy Policy and may not be stored, sold, or sublicensed without our express permission.
- Acceptable Use: Automated or bulk requests must comply with these Terms. Excessive scraping, harvesting, or distributed denial-of-service behavior will result in revocation of API access.
14. Cookies and Tracking
Our use of cookies, session storage, and tracking technologies is detailed in our Privacy Policy. By using the Service, you consent to these mechanisms for authentication, session management, analytics, and fraud prevention.
15. DMCA and Copyright Infringement
We respect intellectual property rights. If you believe your copyrighted work has been infringed, please send a written notice containing the following to dev@townhallos.org:
- Identification of the copyrighted work.
- Identification of the infringing material and its location on our Service.
- A statement of good faith belief that the use is unauthorized.
- Your contact information and a statement, under penalty of perjury, that the information is accurate.
Upon receipt, we will investigate and, if appropriate, remove or disable access to the infringing material.
16. Force Majeure
Neither party will be liable for any failure or delay in performing obligations due to causes beyond reasonable control, including natural disasters, war, terrorism, cyber-attacks, strikes, government action, or Internet outages. We will notify you as soon as practicable of any force majeure event affecting service availability.
17. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of assets, provided that the assignee assumes all obligations under these Terms.
